PORTL Live – Terms of Service

Important Notice
These Terms of Service ("Terms") constitute a legally binding agreement between you and PORTL, Inc., an Oregon corporation (“PORTL,” “we,” “us,” or “our”), governing your access to and use of the PORTL Live mobile application, website, and related services (collectively, the “Service”).
PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Eligibility
You must be at least 13 years old to use the Service. If you are under 18, you may only use the Service with the involvement of a parent or guardian.
2. Account Registration
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate and complete information.
- Keep your login credentials secure.
- Notify us immediately of any unauthorized use of your account.
You are responsible for all activities conducted through your account.
3. User Content
You may submit content, including photos, videos, comments, event check-ins, and profile information (“User Content”). You retain ownership of your User Content, but by posting or submitting content through the Service, you grant PORTL a non-exclusive, worldwide, royalty-free, transferable license to host, use, reproduce, modify, adapt, publish, distribute, and display such content solely for the purpose of providing, promoting, and improving the Service.
You represent that you own or have the necessary licenses to all User Content submitted and that it does not violate any third party's rights or applicable law.
4. Privacy and Sharing Controls
You have control over your visibility settings. You may choose to make:
- Your entire account public,
- Your activity visible only to your approved connections, or
- Your activity entirely private.
Event check-ins, uploaded media, and your profile can be made visible based on these preferences. You can update your privacy settings at any time in the app settings.
5. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose;
- Upload or share defamatory, obscene, abusive, harassing, or infringing content;
- Impersonate any person or entity;
- Use the Service to distribute spam, malware, or other malicious content;
- Attempt to reverse-engineer, disassemble, or compromise the integrity of the platform.
PORTL reserves the right to investigate and take legal action against violators, including account termination.
6. Data Practices and Third-Party Tools
We do not sell your personal data to third parties. We do not use third-party ad pixels (e.g., from Meta or Google) that track your behavior for advertising purposes.
7. Termination
We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms or for conduct that we determine to be harmful to the Service or other users.
You may also delete your account at any time, which will permanently remove your User Content and profile data from our systems, subject to applicable laws.
8. Intellectual Property
All materials on the Service, including the name “PORTL,” trademarks, logos, software, and other intellectual property are owned by or licensed to PORTL, and may not be copied, reproduced, or used without written permission.
9. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." PORTL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS OR REVENUE.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles.
Any dispute arising from or relating to these Terms or the use of the Service shall be resolved in the courts located in Lane County, Oregon.
11. Modifications
We reserve the right to update these Terms at any time. We will notify you by posting the updated Terms on the Service and updating the "Last Updated" date.
Continued use constitutes acceptance of the new Terms.
